Starting a business?

You may want to form a limited company. While there are lots of reasons this is a good idea, it’s particularly important if your business is turning over more than £40,000 a year. If you’re currently acting as a sole trader, it may be a good idea to just go ahead and register a business name for the future. This way, it’s still available when you decide that you do want to set up a limited company. It’s really easy and only takes a few minutes. You don’t even have to trade through your registered name – it’s there for good once it’s registered unless of course you decide to strike it off of the register. If you’re not trading through your company’s registered name, it will just simply remain dormant. This is completely fine, but there’ll be a few things to complete annually to keep everything where you want it. All Sildi Ltd clients receive these services for a small annual or monthly fee.

  • Informing HMRC that your company’s business name will be dormant
  • Filing dormant accounts every year
  • Confirming the necessary details, by submitting Annual Return

If you decide to stop being dormant and go limited, it’s super simple to just begin trading through your limited company. It will automatically switch over from dormant to active. At that point, Sildi Ltd will go through the necessary steps to inform HMRC that the company is trading.

This entire process is all very easy and quick. Just choose your name and have a credit card handy. After that, you’ll receive all the documents and an application for VAT and PAYE registration. If you’re not going to begin trading right away, just keep the documents and applications handy for later. If you’re going to begin trading now, fill them out and ask one of our helpful accountants for their assistance.

The forms will ask a few questions that you may be confused about. See below for simple explanations of some of the legal jargon.

  • Director details – It is not enough that you control all of the invoicing, the company bank account and your own salary. You must actually be appointed to be a director.
  • Secretary details - Following a change in legislation, there are no need for a company to have a secretary. You may appoint one though if you wish to do so.
  • Shares - You will need to issue and assign your company’s shares. There can be more than one class of share.
  • Subscriber/shareholder – These are those who own the shares.
