Annual Return is replaced with a Confirmation Statement

From 30th June 2016 the Annual Return is replaced with a Confirmation Statement..

You will now need to submit a confirmation statement instead of an annual return as a means of providing up to date information to Companies House. It is an offence not to file a confirmation statement (even for a dormant company) within 14 days of the end of the relevant review period.

The Confirmation Statement must contain PSC information.
Companies must file the information on their PSC register (register of People with Significant Control over them) with Companies House when they file their first confirmation statement. This will become publicly available information.
Since 6th April companies have been required to keep a PSC register and this cannot be blank. Companies have to take “reasonable steps” to obtain information about their PSCs, including issuing the appropriate notices to confirm and identify their PSCs, so companies whose annual return would otherwise have been due on or shortly after 30th June, 2016 should ensure that they are ready to comply with the new requirements. 

The 28 day grace period that existed for filing the annual return has also been reduced to 14 days in respect of filing the confirmation statement.
